Usage License
This document (the “Licence”) sets out the terms of use for digital templates, files and other digital content (the “Products”) offered by VS Goods via https://vs-goods.store/ (the “Website”).
This Licence applies in addition to the Website’s Terms and Conditions of Sale (T&Cs). In the event of any conflict, the T&Cs shall prevail.
1. Definitions
VS Goods / Publisher: VS Goods, as identified in the Legal Notice and the T&Cs.
Product(s): any digital content sold or made available via the Website (templates, files, bundles, collections, etc.).
Customer / Licensee: the individual or legal entity purchasing or accessing the Product, as the holder of the Licence.
Seat (Authorized User): one (1) named natural person authorized to use the Product.
Source / Editable Files: any editable file providing access to layers, components, elements, or structure (e.g., PSD, AI, AE, Figma, project/native files, etc.).
Exported Deliverables (Exports): non-editable outputs generated from the Product (e.g., flattened PDF, JPG/PNG, MP4/MOV) that do not allow extraction or standalone reuse of Product elements.
End Client: the Licensee’s client in the context of a service engagement.
Service Provider / Subcontractor: a third party involved in producing a deliverable (printer, editor), acting under the Licensee’s authority.
2. Intellectual property – No transfer of rights
Products remain the exclusive property of VS Goods and/or its rightsholders.
Purchasing or accessing a Product does not transfer any IP rights. The Licensee only receives a right of use within the limits of this Licence and the T&Cs.
3. Licence grant (non-exclusive) – Scope
Subject to full payment (where applicable) and compliance, VS Goods grants a licence that is:
• non-exclusive;
• worldwide;
• non-transferable;
• non-sublicensable;
• limited to one (1) seat;
• granted for an unlimited (“lifetime”) term subject to Section 6;
• valid for an unlimited number of projects.
4. Permitted uses
4.1 Commercial use and projects
Commercial use is permitted for unlimited projects.
4.2 Client work
The Licensee may create outputs for an End Client and provide the End Client only Exported Deliverables, strictly for that project.
4.3 Modifications
The Licensee may modify/adapt the Product for project needs.
4.4 Media and distribution (examples)
Permitted: websites, social media, print/PDF, presentations, advertising/marketing (paid or organic), subject to Section 5.
5. Restrictions and prohibitions (strict)
Strictly prohibited, including after modification:
5.1 Redistribution / sharing / making available
No resale, redistribution, sharing, or making available; no marketplace/drive/Git sharing; no repackaging.
5.2 Source files / extractable formats
No Source / Editable Files — No Extractable Formats (Third-Party Restrictions).
The Licensee shall not provide, disclose, distribute, upload, or otherwise make available any Source Files or Editable / Extractable Formats to any End Client, third party, or service provider (including subcontractors), whether directly or indirectly.
No format enabling extraction or standalone reuse.
For the avoidance of doubt, the Licensee shall not provide any file, link, access, or format that enables the extraction, access to, or standalone reuse of any underlying assets, layers, components, or elements of the Deliverables.
Definition — “Extractable Format”.
“Extractable” means any format that enables, directly or indirectly, access to layers, components, code, objects, nodes, precomps, 3D files, textures, or any independently reusable structure, including without limitation: any “with layers” export, vector or editable files, 3D files, project files, native files, or any equivalent format.
Clarification (non-exhaustive examples).
The following are typically considered Extractable Formats and must not be shared with any third party: editable/source files such as .fig (including Figma files or share links granting access to components), .psd, .ai, .eps, editable .svg, layered PDFs, .ae/.aep project files, source video timelines, template files, or any file or access method that enables extraction/reuse of underlying assets or components.
Exported Deliverables (generally permitted).
Conversely, flattened / non-editable outputs (“Exported Deliverables”) such as PNG, JPG, flattened PDF, MP4 may generally be delivered to an End Client only as part of client work, provided that no source files, libraries, components, or editable layers are included, and all other restrictions of this Licence remain fully applicable.
5.3 One-seat limit – groups and teams
No multi-user/team/group/subsidiary use beyond single-seat; no internal sharing enabling multiple-user access.
5.4 Competing offers
No use to create a competing offer (library, pack, marketplace).
5.5 AI / ML
No use for AI/ML training, fine-tuning, embeddings, dataset building, etc.
5.6 Unlawful / prohibited content
No use in unlawful, defamatory, hateful, discriminatory, pornographic or rights-infringing projects.
5.7 Trademark / logo / registration – false authorship
No use “as-is” as primary distinctive feature of a mark/logo; no registration attempts; no false authorship claims.
5.8 End-user extraction / distributable integration
No integration into any distributed product/app/template/service where end users can extract/recover Product elements.
5.9 NFTs / immutable digital assets
No use in NFTs or immutable digital assets intended for sale.
6. Term – “Lifetime” access subject to an active account
Licence is granted for an unlimited (“lifetime”) term, but access/downloads are conditional upon:
having an active VS Goods account; and
complying with the T&Cs and this Licence.
VS Goods may suspend/close account/access in case of breach.
7. Service providers / subcontractors
The Licensee may provide a Service Provider only Exported Deliverables, strictly necessary to execute the project, with no right of reuse.
Providing Source/Editable Files to a Service Provider is prohibited.
The Licensee may use a service provider (e.g., printer, editor, developer) only where strictly necessary to perform the project, and only by providing non-editable Exported Deliverables, strictly to the extent required to perform the service, with no right of reuse.
The Licensee shall ensure the service provider is bound by confidentiality and non-reuse obligations at least equivalent to this Licence. The Licensee remains fully liable for any breach by the service provider.
Any provision of Source/Editable Files (or any extractable format) to a service provider is strictly prohibited.
8. Third-party elements
Some Products may include or rely on third-party elements (fonts, etc.) subject to their own licences. The Licensee must comply.
9. Warranties – “As is”
Except where mandatory law provides otherwise, Products are provided “as is”. Liability limitations are set out in the T&Cs.
10. Remedies, termination and protective measures
In case of breach, VS Goods may suspend/close account, disable downloads, terminate the Licence, require cessation and deletion, initiate takedowns and legal action.
11. Governing law – Jurisdiction
French law applies.
Consumers: mandatory rules apply.
Businesses: Commercial Court of Toulouse, unless mandatory law provides otherwise.
