Terms and Conditions of Sale

These Terms and Conditions of Sale (the “T&Cs”) govern any order placed via https://vs-goods.store/ (the “Website”), published by VS Goods (“VS Goods” or the “Seller”).

Placing an order implies full and unconditional acceptance of the T&Cs in force on the date of the order.

2. Definitions

• Customer: any individual or legal entity placing an order via the Website.
• Consumer Customer: a Customer acting outside their trade/business/profession.
• Business Customer: a Customer acting in the course of their trade/business/profession.
• Products: digital content (assets, templates, files, bundles, collections), subscriptions.
• Digital Content: data supplied in digital form (downloads, access, licences).
• Account: mandatory personal space enabling purchase, access and/or download of Products.
• Licence: usage rights granted to the Customer for Digital Products under Section 12 and/or the standalone “Usage Licence (Single Licence)” where applicable.

3. Scope – Consumer and Business Customers

These T&Cs apply to Consumer Customers and Business Customers.

In the event of any conflict between (i) specific conditions displayed on a Product page and (ii) these T&Cs, the specific conditions shall prevail.

4. Products and availability

4.1 Digital Products

Digital Products are supplied via immediate download, access through the Account, a link sent by email, and/or, where indicated, a redirection to a partner platform.

Visuals and descriptions are provided for information only. The Customer remains responsible for verifying suitability (including software compatibility).

4.2 Subscriptions

VS Goods may offer subscription plans providing access to certain content and/or benefits.

Unless otherwise stated on the subscription offer page, a subscription:

• is taken out on a monthly or annual basis depending on the subscription plan selected;
• renews automatically at each billing date;
• may be cancelled from the Account (or by contacting customer support) before the next billing date, to take effect at the end of the current period.

Exact terms are described on the relevant subscription page. Pre-contractual information. All essential terms (including price, billing frequency, duration, renewal and cancellation) are displayed to the Customer before subscription confirmation.

5. Account creation

Creating an Account is mandatory. The Customer must provide accurate information and keep it up to date.

The Customer is solely responsible for keeping login credentials confidential. Any action carried out through the Account is deemed carried out by the Customer.

6. Orders

6.1 Ordering process

The Customer selects Products, validates the cart, provides required information, and proceeds to payment. The order is final once:

• the T&Cs are accepted;
• payment is validated; and
• an order confirmation is sent by email.

6.2 Free Products

Free Products follow the same checkout flow and are subject to these T&Cs (including the Licence and usage restrictions), unless otherwise stated.

7. Prices – Currency – Taxes

7.1 Currency

Prices are displayed and charged in Euro(€) unless otherwise stated.

Currency conversion fees. Where the order is paid through a payment provider or bank applying an exchange rate and/or fees (including FX fees, mark-ups or card fees), such rate and fees are set by the payment provider/bank and are independent from VS Goods. VS Goods shall not be liable for them.

7.2 Taxes (VAT and other taxes)

Taxes may vary depending on location and status.

As a general principle (subject to configuration and applicable rules):

• EU Consumers (B2C): VAT may be applied at the rate of the Customer’s country and declared via the One-Stop Shop (OSS) in France.
• EU Businesses (B2B): if a valid VAT number is provided (and verified), invoicing may be made net of VAT (reverse charge).
• Non-EU Customers (B2C and B2B): sales are generally not subject to EU VAT, without prejudice to any local VAT, GST, sales tax or similar taxes applicable in the Customer’s jurisdiction.

Where applicable, taxes are shown at checkout and on the invoice.

7.3 Promotions – Discount codes

Unless otherwise stated:

• valid for the indicated period;
• not cumulative;
• not retroactive.

Promotions, bundles and freebies. VS Goods may, at its sole discretion, apply promotions, discounts, coupons, flash sales, bundles, tiered pricing and/or make certain Products available free of charge (notably for marketing purposes). The price actually paid by the Customer shall prevail for invoicing and, where applicable, for any net revenue or commission calculations provided in other contractual documents.

8. Payment

Accepted methods: Stripe, PayPal, Apple Pay, Google Pay.

Payment is due at order time, in one instalment. Delivery of Digital Products occurs after successful payment validation.

VS Goods does not store card details; those are processed by payment providers.

9. Invoicing

An electronic invoice (PDF) is generated and sent by email and/or made available in the Account.

Business Customers must provide correct invoicing details to allow compliant invoicing.

10. Delivery – Digital Products

10.1 Delivery methods

Digital Products are delivered via immediate download, the Account, email link, and/or partner platform redirection where indicated.

10.2 Delivery timing

Except for technical issues, delivery is immediate after payment validation.

10.3 “Lifetime” access subject to an active Account

Unless otherwise stated, access and downloads are unlimited (“lifetime”) provided the Account remains active and the Customer complies with these T&Cs. VS Goods may suspend access in case of breach.

10.4 Technical requirements

Some Products require third-party tools/licences. The cost of such tools/licences is not included. The Customer is responsible for meeting requirements.

11. Delivery – Physical goods

Not applicable (VS Goods currently sells digital content and subscriptions only).

12. Licence (single licence)

End-User Licence (EULA) – incorporation. Detailed usage terms for digital Products are set out in the “Usage Licence (Single Licence)” available on the Website. This Licence is incorporated into, and forms an integral part of, these T&Cs. In the event of any inconsistency, these T&Cs shall prevail, unless the relevant Licence provision is more specific and remains consistent with these T&Cs.

12.1 Scope of the Licence

Subject to full payment, VS Goods grants the Customer a non-exclusive, non-transferable, non-sublicensable licence to use purchased Digital Products for:

• commercial use;
• an unlimited number of projects;
• client work (agency/studio delivering an output to a client);
• with a strict limitation of 1 seat (one named natural person) per licence, unless VS Goods expressly agrees otherwise in writing.

The Licence is granted for the duration indicated on the Product page; failing that, it is granted for “lifetime” access subject to an active Account (Section 10.3).

12.2 Modifications

The Customer may modify and adapt Products for their needs.

12.3 Prohibitions

Strictly prohibited (including after modification):

• resale, redistribution, gifting, lending, renting, sharing or making available files (source or derived);
• making files available on any marketplace, public/private drive, Git repository, or any file-sharing platform;
• using Products to build a competing offer (asset library, template pack, marketplace, etc.);
• sharing within a group/subsidiaries/teams beyond the single-seat limit;
• using Products (or extracts) to train, fine-tune, feed or build datasets for AI/ML systems.

12.4 Credits

Attribution is not required unless stated otherwise on the Product page.

12.5 Remedies and sanctions

In case of breach, VS Goods may suspend/close the Account, disable downloads, terminate the Licence, request immediate removal, and take legal/takedown action.

13. Right of withdrawal – No refunds

13.1 Digital Content – waiver (Consumers)

For digital content supplied on a non-tangible medium, withdrawal may not apply once performance begins after prior express consent and acknowledgement of waiver.

Accordingly, for Digital Products, the Consumer Customer acknowledges that performance begins immediately after payment and expressly waives withdrawal rights. A dedicated statement/checkbox is provided at checkout.

Express consent and evidence. For Digital Products, the Consumer Customer acknowledges that performance of the contract (making available / access / download) starts only after (i) the Customer’s prior express consent to immediate performance and (ii) the Customer’s express acknowledgement that they thereby lose their right of withdrawal, materialised by a dedicated checkbox before the order is placed. VS Goods retains technical evidence of such consent (timestamp, order ID, and available logs).

13.2 “No refunds” policy

No refunds for digital products once available (purchase error, change of mind, incompatibility due to Customer not meeting requirements). Mandatory statutory rights remain unaffected.

15. Conformity – Statutory warranties

15.1 Consumers

Consumers benefit from mandatory statutory protections (including conformity rules for digital content).

15.2 Businesses

Unless mandatory law provides otherwise, Products are provided “as is” and without warranties other than those expressly stated.

16. Liability

16.1 “As is”

Except where mandatory law provides otherwise, Products are provided “as is”.

16.2 Exclusions (to the extent permitted by law)

No liability for indirect damages, misuse, downtime, or third-party tools/services.

16.3 Liability cap

Total liability capped at amounts paid for the relevant order (or for subscriptions: amounts paid in the last 12 months), to the extent permitted by law. No exclusion for fraud/wilful misconduct or non-excludable liabilities.

17. Chargebacks, fraud and non-payment

VS Goods may suspend access, request evidence, challenge chargebacks, and take action to recover sums.

18. Intellectual property

No transfer of ownership. Purchase grants only the Licence.

19. Third-party elements

Third-party elements remain subject to their own licences. Customer must comply.

20. Personal data

21. Force majeure

No liability for delays/failures due to force majeure events as recognised by French case law.

22. Consumer mediation (Consumers)

After prior written complaint to VS Goods, Consumers may refer to:

23. Governing law – Jurisdiction

French law applies.

Consumers: mandatory statutory jurisdiction rules apply.
Businesses: Commercial Court of Toulouse has exclusive jurisdiction, unless mandatory law provides otherwise.

24. Miscellaneous

Severability. VS Goods may update T&Cs; applicable version is the one accepted at order time.
